Terms of Service

1. Agreement

These Terms of Service (“Terms”) are a legal agreement between you and EYEMAGINE Technology, LLC(“EYEMAGINE,” “we,” “us”). They govern your use of eyemaginetech.com, the marketing site, downloadable resources, contact forms, the EMOC chat widget, and any other product or feature we make available through the site (collectively, the “Site”).

By using the Site you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.

These Terms apply only to the Site itself. Paid engagements (implementations, workshops, retainers, software licenses) are governed by a separate written agreement — a statement of work (SOW), master services agreement (MSA), or product-specific license. Where those agreements conflict with these Terms, the SOW/MSA/license controls for the subject matter it covers.

2. Eligibility

You must be at least 18 years old and legally able to enter contracts in your jurisdiction to use the Site. If you are using the Site on behalf of a company or other organization, you represent that you have authority to bind that entity to these Terms.

3. Use of the Site

You agree not to:

• Use the Site in any way that violates applicable law or these Terms.
• Probe, scan, or test the vulnerability of the Site without our prior written authorization; report security issues responsibly to [email protected].
• Use automated means (bots, scrapers) to access the Site at a volume or rate that interferes with normal operation, or in a way that violates our robots.txt or rate limits.
• Send spam, phishing, malware, or content that infringes another’s rights.
• Reverse-engineer, decompile, or attempt to extract source code from any portion of the Site or its software, except to the extent that law expressly permits despite this limitation.
• Misrepresent your identity, your affiliation, or the source of any submission.
• Resell, sublicense, or otherwise commercialize the Site or its content without our prior written permission.

4. Accounts and access

Some portions of our offering may require an account (for example, partner portals, EMOC, GEOPro). You are responsible for keeping your credentials confidential and for all activity that occurs under them. Notify us immediately at [email protected] if you suspect unauthorized use.

5. Submissions and feedback

When you submit information through a form, chat, or email — including ideas, suggestions, business descriptions, or feedback — you grant EYEMAGINE a non-exclusive, royalty-free, worldwide, perpetual, transferable license to use that submission to operate, improve, and promote our products and services. We will use personally identifiable information only as described in our Privacy Policy.

Do notsubmit confidential, proprietary, or sensitive personal information through the Site’s public forms or chat. For confidential conversations, request a mutual NDA via [email protected].

6. Intellectual property

The Site and all of its contents — text, images, logos, code, videos, downloadable PDFs, frameworks (aiFocus, aiX, aiAccelerate, aiEngage), product names (EMOC, GEOPro, Forge, Keystone), and trade dress — are owned by EYEMAGINE or our licensors and are protected by United States and international copyright, trademark, and other intellectual-property laws.

We grant you a limited, revocable, non-exclusive, non-transferable license to view and use the Site for your personal or internal-business informational purposes. All other rights are reserved. Use of any of our trademarks or logos in commerce requires our prior written permission.

7. Third-party services and links

The Site links to and integrates with third-party services including but not limited to HubSpot, Google, Meta, Apollo, LinkedIn, Loom, and Cloudflare. Those services have their own terms and privacy practices and are not under our control. We are not responsible for third-party content, terms, or actions.

8. Fees, proposals, and SOWs

Marketing materials on the Site — including framework descriptions, pricing ranges, percentage claims (e.g., “40-60% faster”), and product positioning — are general statements and do not constitute a binding offer or warranty. Any engagement is quoted, scoped, and bound only by a signed SOW or MSA.

Promotional discounts (e.g., GEOPro promo code) are offered at our discretion, may be withdrawn at any time, and are subject to the specific terms shown at checkout or in the promotional material.

9. Disclaimer of warranties

The Site is provided “as is” and “as available.”

To the maximum extent permitted by law, EYEMAGINE disclaims all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, secure from intrusion, or free of viruses or other harmful components.

Marketing content, case studies, frameworks, and resources are provided for informational purposes only and do not constitute legal, financial, tax, or specific technical advice.

10. Limitation of liability

To the maximum extent permitted by law:

• EYEMAGINE shall not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost data, business interruption, or loss of goodwill, arising out of or in connection with your use of the Site, even if advised of the possibility.
• EYEMAGINE’s aggregate liability arising out of these Terms or your use of the Site is limited to one hundred U.S. dollars (US$100), or, where you have an active paid engagement with us, the amount you paid us for the specific service giving rise to the claim in the twelve months preceding the event.
• Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless EYEMAGINE, its officers, directors, employees, contractors, and affiliates from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from: (a) your violation of these Terms; (b) your misuse of the Site; (c) your violation of any law or the rights of any third party; or (d) any content you submit through the Site.

12. Termination

We may suspend or terminate your access to the Site at any time, with or without cause, with or without notice. Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution) will survive.

13. Disputes and governing law

These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute arising out of or relating to these Terms or the Site shall be resolved exclusively in the state or federal courts located in Orange County, California, and you consent to the personal jurisdiction of those courts. Each party waives any right to a jury trial. The prevailing party in any action to enforce these Terms shall be entitled to recover reasonable attorneys’ fees and costs.

If you are a consumer resident in a jurisdiction where the above choice-of-law or venue clauses are not enforceable, those clauses do not affect the mandatory consumer-protection rights of your local jurisdiction.

14. Changes

We may update these Terms from time to time. Material changes will be announced on this page; the “Effective” and “Last reviewed” dates at the top of this page indicate when these Terms were last changed. Continued use of the Site after a change constitutes acceptance of the updated Terms.
